If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms of Use.
You may use this Site for lawful purposes only and in accordance with these Terms of Use. You agree not to: • Use the Site in any way that violates applicable federal, state, local, or international law or regulation. • Transmit any advertising or promotional material without our prior written consent. • Impersonate or attempt to impersonate WBEC-West, a WBEC-West employee, another user, or any other person or entity. • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site. • Attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site. • Use any robot, spider, or other automatic device to monitor or copy any content from the Site without our prior written consent. • Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful.

The WBEC-West name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WBEC-West or its affiliates. The WBENC® certification mark is a registered trademark of the Women's Business Enterprise National Council and is used by WBEC-West under license.
Information provided on this Site regarding WBENC certification is for general informational purposes only. Certification decisions are made in accordance with WBENC standards and WBEC-West's established review process. Submission of an application does not guarantee certification. Certification fees are non-refundable once the review process has commenced. WBEC-West reserves the right to revoke certification if a certified business no longer meets the eligibility criteria or if material misrepresentations are discovered in the application. All application materials submitted to WBEC-West become the property of WBEC-West and may be used for verification and audit purposes.
The WBEC-West Member Directory is provided as a resource to connect certified Women's Business Enterprises with corporate and government buyers. By listing your business in the directory, you grant WBEC-West a non-exclusive, royalty-free license to display your business information, logo, and other submitted materials on the Site and in related marketing materials. You are responsible for ensuring that all information in your directory listing is accurate and up to date. WBEC-West reserves the right to remove or modify any listing that violates these Terms of Use or that contains inaccurate or misleading information. Users of the directory agree not to use contact information obtained from the directory for unsolicited commercial communications or any purpose other than legitimate business development.
The Site may contain links to third-party websites or services that are not owned or controlled by WBEC-West. WBEC-West has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policy of any third-party website you visit. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WBEC-WEST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: • Your access to or use of (or inability to access or use) the Site. • Any conduct or content of any third party on the Site. • Any content obtained from the Site. • Unauthorized access, use, or alteration of your transmissions or content. In no event shall WBEC-West's total liability to you for all claims exceed the amount paid by you to WBEC-West in the twelve (12) months preceding the claim.
You agree to defend, indemnify, and hold harmless WBEC-West, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms of Use.
WBEC-West reserves the right to terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Use. Upon termination, your right to use the Site will cease immediately. All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms of Use and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Arizona, in each case located in Maricopa County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
